**STANDARD TERMS AND CONDITIONS OF SALE**

1. **Acceptance of Orders:** All orders are subject to acceptance by Caffélus. Acceptance of an order occurs when Caffélus issues an order confirmation.

2. **Pricing and Payment:** Prices are as stated on the Caffélus website or as quoted by a Caffélus representative. Payment terms are net 30 days from the date of invoice unless otherwise specified. Caffélus reserves the right to change prices without notice.

3. **Shipping and Delivery:** Shipping and delivery dates are estimates only and Caffélus shall not be liable for any delays. Risk of loss or damage passes to the buyer upon delivery of the goods to the carrier.

4. **Returns and Refunds:** Returns are subject to Caffélus's return policy. Refunds will be issued in accordance with this policy and may be subject to restocking fees.

5. **Warranties:** Caffélus warrants that its products will conform to the specifications set forth in the applicable product documentation. Caffélus makes no other warranties, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.

6. **Limitation of Liability:** In no event shall Caffélus be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the sale or use of its products.

7. **Governing Law:** These terms and conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which Caffélus's principal place of business is located.

8. **Entire Agreement:** These terms and conditions constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior agreements and understandings, whether written or oral.

By placing an order with Caffélus, the buyer acknowledges that they have read and agree to be bound by these standard terms and conditions of sale.
